SECTION 1: EXPRESS NON-SWEEPSTAKES & NON-GAMBLING DECLARATION
1.1 Non-Applicability of Sweepstakes and Lottery Statutes
Caldarus Labs operates strictly and exclusively as a first-party consumer e-commerce retail platform for physical collectible merchandise, sports cards, and graded trading card slabs ("Platform"). Caldarus Labs does NOT operate, sponsor, conduct, or administer any sweepstakes, lotteries, raffles, games of chance, contests, or promotional giveaway drawings.
1.2 Rejection of Alternate Method of Entry (AMOE)
Because the Platform operates exclusively as a first-party commercial retail marketplace under Article 2 of the Virginia Uniform Commercial Code (UCC Article 2, 6 Del. C. § 2-101 et seq.), the Platform does NOT accept, process, recognize, or honor Alternate Method of Entry (AMOE) submissions, mail-in postcard entries, free entry codes, or non-consideration promotional entries. Any mail-in letters, postcards, or AMOE submissions sent to the Company or its facilities will be returned to sender or destroyed without processing.
SECTION 2: PURE COMMERCIAL RETAIL FRAMEWORK (UCC ARTICLES 2 & 7)
2.1 Direct First-Party Commercial Sales
Every transaction executed on the Platform—including mystery pack purchases, digital collectible pack acquisitions, and card draws ("Pack Purchases")—constitutes a direct, arm's-length first-party consumer retail sale under Virginia UCC Article 2. When a user submits payment on the Platform, the user is purchasing tangible personal property: specifically, underlying physical sports or non-sports trading cards, Professional Sports Authenticator (PSA), Beckett Grading Services (BGS), or Certified Guarantee Company (CGC) encapsulated graded collectible slabs, or raw collectible cards ("Physical Cards").
2.2 Per-Card Minimum Floor Value Guarantee
Every single Physical Card offered within a pack manifest carries a verified Fair Market Value (FMV) at the time of publication that meets or exceeds the published per-card "Floor Value Badge" for that pack tier. Purchasers are guaranteed to receive deliverable consumer merchandise of real, quantifiable commercial value under UCC § 2-105, establishing that no transaction results in a zero-return or valueless outcome.
2.3 Provably Fair Inventory Manifests
All card draws are generated from cryptographically locked, immutable inventory manifests (manifest_hash) executed by an automated HMAC-SHA256 commit-reveal Random Number Generation (RNG) engine. Published probability tables accurately disclose exact percentage odds across all valuation bands in full compliance with Section 5 of the FTC Act (15 U.S.C. § 45).
2.4 Commercial Vault Storage & Physical Title Transfer (UCC § 2-401 & Article 7)
Upon completion of a card draw, legal title to the drawn Physical Card immediately and irrevocably passes to the purchaser pursuant to Virginia UCC § 2-401 (6 Del. C. § 2-401). Simultaneously, the card is placed into physical vault storage, creating a commercial bailment relationship governed by Virginia UCC Article 7 (6 Del. C. § 7-101 et seq.) where the purchaser holds title as bailor and the Company acts as custodian bailee. Purchasers maintain the right to request insured physical delivery of their vaulted cards at any time pursuant to the Terms of Service.
SECTION 3: APPLICABLE MASTER TERMS
All access to and transactions executed on the Platform are governed strictly by the Grail Hunterz Terms of Service & E-Commerce Purchase Agreement (TOS_and_Purchase_Agreement.md), including Section 14 (Mandatory Binding Individual Arbitration and Class Action Waiver).
